TERMS AND CONDITIONS FOR

YOUR LADDR COMPETITIONS (the “COMPETITION”)

By entering the Competition, you agree to be bound by these terms and conditions (these “Terms and Conditions”).
This Competition is operated in accordance with guidance issued by the UK Gambling Commission so as to be a skill-based competition rather than a lottery or other form of gambling under applicable UK law.
  1. The promoter of this Competition is Your Laddr Limited (“Your Laddr”) of B01 Archer Street Studios, Emerge, 10-11 Archer street, London W1D 7AZ.
  2. Participants must be at least 18 years old and at least the legal age of home ownership in their country of residence. Employees and agents of Your Laddr and anyone connected with operation or fulfilment of the Competition are not eligible to take part, and nor are any of their immediate families or members of their households. Your Laddr reserves the right to require participants to prove that they are eligible. If any person selected is found to be ineligible, Your Laddr reserves the right to award the Prize to another participant and to require the return of any Prize already awarded.
  3. By entering the Competition, you confirm that you have legal capacity to do so and that you are not breaching any laws in your location or country of residence regarding the legality of entering competitions of this nature. The promoter will not be held responsible for any entry into the Competition that is contrary to applicable law(s). If in any doubt you should leave the website immediately and check with the relevant authorities in your country.
  4. The Competition commences at 00:01am UK time on 10 December 2017 and all entries must be received by 23:59 UK time on the Cut-Off Date. The “Cut-Off Date” is  23:59 10 September 2018.
  5. The Competition will be promoted on the Your Laddr website at the following URL address: yourladdr.com (the “Website”).
Entering the Competition
  1. To enter the Competition you must:
(a)            Purchase an electronic ticket for the Competition through the Website (a “Ticket”); and
(b)            Play the Spot the Ball Challenge (as further specified in clause 19 below).
When your payment has cleared, we will contact you by email to confirm your entry into the Competition. Please note that you will not be deemed entered into the Competition until your payment has cleared.
7.             Entries submitted by any other means will not be accepted: only those submitted via the official method of entry. Use of script, macro or any automated system to enter the Competition is prohibited and entries made (or which appear to have been made) using any such system may be treated as void. Any illegible, incomplete or fraudulent entries will be rejected. Participants may make a maximum of 150 entries into the Competition. Any entries in addition to this may be disqualified.
 
The Prize
  1. The prize to be won is:
(a)            unless a minimum of 380,000 tickets are sold to reach the value of the house and Your Laddr chooses to award a cash prize instead under the provisions of clause 18 below:
(i)              Flat 1, 32 Walton Street, Knightsbridge, London, SW3 1R (the “Property”);
(ii)            rental income generated by the Tenancy after the Transfer Date (as further described under clause 9 below);
(iii)           a cash amount equal to one (1) year’s council tax from the Cut-Off Date; and
(iv)           payment by Your Laddr of all Stamp Duty Land Tax properly payable on the transfer of the Property;
(b)            2017 Jeep Wrangler Black Hawk with a mileage of 800 miles, Volcanic Rock Satin Paint, automatic transmission, leather seats, a wide body bodykit, signature grille, special headlamps, front bumper with LED lights, quad exhaust system, 17″ wheels with Cooper tyres, side steps, Targa roof, and a removable hard top (the “Car”); and
(c)            a cash amount equal to the cost of insurance and road tax for the Car for a period of one (1) year (subject to a maximum of £4,000) for an average driver based on the assumptions listed later in these Terms and Conditions; and
(d)            a parking permit for the Car at the Property for a period of one ( 1 ) year.

  1. The Property is currently subject to a short-term rental lease (the “Tenancy”). Your Laddr shall request that the current owner of the Property serves notice to terminate the Tenancy prior to the date on which the Property is transferred to the winner in accordance with clause 12 below (the “Transfer Date”). In the event that the Tenancy has not been terminated prior to the Transfer Date, the winner shall be entitled to the rental income generated by Tenancy after the Transfer Date, until the date on which the Tenancy terminates.
  2. Other than in respect of the Tenancy, as described under clause 9 above, the Property shall be free from all mortgages, charges, liens and other encumbrances. The winner is responsible for reviewing the legal documentation related to the Property, including all local searches, surveys, Land Registry documentation and where relevant any management company documentation.
  3. It will be the winner’s responsibility to organise their own insurance for the Car. For the purposes of calculating the cash amount for the Car insurance that forms part of the Prize, Your Laddr has assumed the following: (i) the Car’s primary place of storage will be the Property; (ii) the winner has no points on their licence; (iii) the winner has no previous convictions; (iv) the winner has a valid UK driving licence.
  4. Where the Property is awarded as part of the Prize to an eligible winner, legal title to the Property will be transferred to the winner. Your Laddr will select and pay for legal advisors to act on the purchase of the Property (the “Legal Advisor”). Unless Your Laddr chooses otherwise, Your Laddr will be the Legal Advisor’s client but the winner will have rights to rely on the Legal Advisor’s advice under a letter of reliance and will be the transferee. Your Laddr shall not be liable for any failure to transfer the Property to any person, or for any fees or fines incurred by any person, as a result of that person failing to comply with these Terms and Conditions.
  5. In respect of the Property, the winner shall be responsible for:
(a)            registering the Property at HM Land Registry in the winner’s name; and
(b)            completing all necessary documentation to transfer the Property to the winner.
14.           The Stamp Duty Land Tax element of the Prize will be paid by Your Laddr to the Legal Advisor, who will be responsible for paying this on to the relevant authorities within the required timescales.
15.           The winner must promptly give Your Laddr and the Legal Advisor all reasonable co-operation in connection with the transfer of the Property and the Car and all associated matters.
16.           The winner is responsible for paying all associated costs that are not specifically stated in these Terms and Conditions.
17.           The Prize is as stated and is non-exchangeable and non-transferable. By participating in the Competition, participants agree that the Prize is awarded on an “as is” basis, and that neither Your Laddr nor any of its subsidiary or affiliated companies make any representations or warranties of any nature with respect to the Prize.
18.            Your Laddr may, in its sole discretion, choose to award a cash prize as a substitute for the Property where ticket sales have not reached 380,000 by the Cut-Off Date. The cash prize amount will be the total amount raised through the sale of Tickets on the Cut-Off Date, less 5% once all costs have been deducted.
 
The Spot the Ball Challenge
  1. For each Ticket that an entrant purchases, they will need to complete a challenge onscreen to identify the potential location of a cricket ball, which shall operate as follows: (i) the entrant will be shown a picture of a cricket game, with a least one cricket player in the picture, where the cricket ball has been digitally removed from the photograph; (ii) entrants will use their skill and judgement to try and correctly identify where the judge will decide is the most likely position for the centre of the ball (if the ball had been present in the image); (iii) entrants will identify the grid square that correlates with where the centre of the cricket ball would be; and (iv) the entrant must click on the screen to mark this spot (the “Spot the Ball Challenge”).
  2. The winner of the Competition will be the person who selects the same grid square (or the nearest grid square) to the grid square identified by the judges in accordance with clause 21 below (subject to the tie-breaker mechanism in that clause).
  3. The winner will be selected the first day (other than a Saturday, Sunday, or a public or bank holiday in England) (a “Business Day”) after the Cut-Off Date, by an independent judge from all complete, eligible, properly submitted entries received before the end of the Cut-Off Date and the judge’s decision is final. The judges will decide where in the picture of the cricket game is the most appropriate position for the centre of the cricket ball, if the cricket ball had been present in the image. The judging panel will consist of at least one professional cricket player and the winner will be selected in front of members of the press and a solicitor. The process will be filmed and put on the Website.
  4. In the event of a tie in the Spot the Ball Challenge, the tying winners will be entered into another round of a spot the ball game to determine the winner. The winner of the prize draw will win the Prize and the losers will share £10,000 equally between them (or if there is just one loser then she/he will win £10,000).
  5. The winner will be notified no later than 8 Business Days after the Cut-Off Date by phone initially and, if we fail to make contact by phone, by email, using the contact details provided on entry. The winner may be required to submit valid identification before receiving the Prize and may not receive any element of the Prize until 30 days after the Cut-Off Date.
  6. If Your Laddr is unable to contact the selected individual using the information provided in their entry to the Competition within 10 Business Days of the Cut-Off Date, or the individual is ineligible to receive the Prize for legal or regulatory reasons, Your Laddr reserves the right to award the Prize to another participant. If the winner has not claimed their Prize by the date specified in the notification of winning, Your Laddr reserves the right to award the Prize to another participant.
  7. In the event that, for reasons beyond Your Laddr’s reasonable control and not related to the winner, Your Laddr is unable to award the Prize as described in these Terms and Conditions, Your Laddr reserves the right to award a Prize of a similar nature and an equivalent value, or at its sole discretion, the cash value of the Prize. In the event of a printing or other error resulting in there being more winners than Prizes for the Competition, Your Laddr reserves the right at any time to allocate the available Prize by the means of a Prize draw or to divide the Prize or the value of the Prize between the winners of the Competition.
  8. Although the Competition may be featured on Facebook, it is in no way sponsored, endorsed, administered by, or associated with Facebook and you agree that Facebook is not liable in any way. You are providing information to Your Laddr and not to Facebook. The information you provide will only be used for the purposes referred to in clause 27 below.
 
Privacy
  1. For the purposes of the Data Protection Act 1998, Your Laddr Limited shall be the “Data Controller” of your “Personal Data” (as such terms are defined in the Data Protection Act 1998). Your Laddr will collect and process participants’ Personal Data and it will be shared with Your Laddr’s agents and affiliates to the extent necessary in order to conduct the Competition including for the Prize to be delivered to the winner.  If participants do not provide any of the mandatory information requested when entering and taking part in the Competition, they may not take part in the Competition.  Participants’ names and other personal details from their entry to the Competition will be collected and stored by Your Laddr and its affiliates. The entrants agree that, by entering the Competition, Your Laddr or our agents and affiliates may use contact details and other data including Personal Data supplied to administer the Website and conduct the Competition according to these Terms and Conditions. The entrants also recognise that Your Laddr may (either by choice or at the request of a third party) also disclose this information to relevant third parties for the purposes of the prevention of fraud, money laundering, legal or other financial or regulatory reasons. Your Laddr will also use email addresses for marketing purposes however entrants may choose to unsubscribe to emails.
  2. By entering the Competition, participants agree to have their name and photograph featured in publicity materials relating to the Competition without further reference, payment or other compensation. This includes making their name as the winner available on the Website. Details of the winner will also be made available to participants and the public on request by sending an email to info@yourladdr.com no later than 15 Business Days after the Cut-Off Date.
  3. Your Laddr reserves the right to modify, cancel, terminate or suspend the Competition in whole or in part, at its sole discretion, if it believes the Competition is not capable of being conducted as specified within these Terms and Conditions or in the event of a virus, a computer bug or unauthorized human intervention or any other cause that is beyond the reasonable control of Your Laddr that could corrupt or affect the administration, security, impartiality or normal course of the Competition. In such circumstances, Your Laddr shall refund entrants with the cost of the Tickets they purchased. Neither Your Laddr nor any of its subsidiary or affiliated companies are responsible for any condition, circumstances, losses, failures or delays caused by events beyond its or their control such as (but not limited to) the acts or defaults of any supplier selected by Your Laddr to provide the Prize or otherwise that may cause the Competition to be disrupted or corrupted, or that may lead to loss or damage of the Prize (or any element of it) in transit to the winner.
  4. You shall not initiate a chargeback with the payment provide that you used to purchase the Tickets. If you suspect that your bank account details were used fraudulently to purchase Tickets, you must notify Your Laddr within 24 hours of the Tickets being purchased and no later than the Cut-Off Date. Your Laddr will only provide a refund to the payee in respect of any Tickets purchased (i) in accordance with clause 29 above; or (ii) where the Tickets were purchased fraudulently (such fraudulent use being confirmed by the relevant payment provider).
  5. Save where it has been negligent, Your Laddr will not be responsible for any damage, loss or injury resulting from participants’ entry into the Competition or their acceptance and/or use of the Prize, or for technical, hardware or software failures, lost, faulty or unavailable network connections or difficulties of any kind that may limit or prohibit their ability to participate in the Competition. Your Laddr will not be responsible for any lost, damaged, defaced, incomplete, illegible or otherwise unreadable entries. Nothing in these Terms and Conditions shall in any way limit Your Laddr’s liability for death or personal injury caused by its negligence or for any other matter where liability may not as a matter of law be limited.
  6. Any participant who enters or attempts to enter the Competition in a manner, which in Your Laddr’s reasonable determination is contrary to these Terms and Conditions or by its nature is unjust to other entrants (including without limitation tampering with the operation of the Competition, cheating, hacking, deception or any other unfair playing practices such as intending to annoy, abuse, threaten or harass any other entrants or Your Laddr and/or any of its agents or representatives) may be rejected from the Competition at Your Laddr’s sole discretion. Furthermore, where such actions have significantly impaired the Competition, Your Laddr may, at its sole discretion, add further stages to the Competition as it deems reasonably necessary in order to resolve any problems arising as a result of such actions.
  7. All Your Laddr’s decisions in relation to the Competition are final and Your Laddr will not enter into any correspondence with participants.
  8. These Terms and Conditions are governed by English law. The courts of England and Wales shall have exclusive jurisdiction to hear any dispute or claim arising in association with the Competition or these Terms and Conditions.
